Join the board of a $60bn regional bank as its first director with operating cyber experience, sitting on the Risk and Technology committees.
The role
The bank operates 240 branches across the Northeast and Mid-Atlantic and is midway through a core banking replacement that runs until 2028. Following a supervisory review last year, the board committed to adding a director with hands-on experience of running security or technology risk at scale. This is a new seat, created alongside the retirement of two long-serving directors in the spring. You will be nominated by the Governance Committee and stand for election at the April annual meeting.
What you will do
- Sit on the Risk Committee and the newly formed Technology Committee, with a view to chairing the latter within two years.
- Provide independent challenge on cyber resilience, third-party risk and the core banking programme.
- Review incident response and recovery testing alongside the Chief Information Security Officer.
- Help the board interpret Federal Reserve and OCC expectations on operational resilience.
- Take part in the annual board evaluation and lead director education on technology risk.
What you will bring
- A senior operating career as a CISO, CIO or CTO in a regulated business, ideally financial services.
- Experience of reporting to a board or audit committee, even if this would be your first public company seat.
- Familiarity with the NIST Cybersecurity Framework, FFIEC guidance and the SEC’s cyber disclosure rules.
- Independence from the bank, its auditors and its main technology vendors.
- Capacity for around 25 days a year, including eight board meetings in Manhattan.
The package
An annual cash retainer of $110,000 to $130,000, a restricted stock grant of around $140,000 vesting over one year, and additional fees for committee chairs. Conversations with the Lead Independent Director run through October and November.
